By downloading, installing, or using this Application, you agree to be bound by the terms of this Agreement. If you do not agree, do not download, install, or use the Application.
This End User License Agreement ("Agreement") is a legal agreement between you (the "User") and ChinaBizCheck ("Licensor," "we," or "us") governing your use of the ChinaBizCheck software application, report outputs, and integrated services (collectively, the "Application").

Scope of License
We grant you a personal, limited, non-exclusive, non-transferable, and revocable license to use the Application on any compatible device (desktop, tablet, or mobile phone) owned or controlled by you, strictly in accordance with this Agreement.
This license is granted solely to you, the end user. It is not a sale of the Application or any rights therein.

Transactional Pricing and Pay-Per-Report Model
Unlike standard auto-recurring subscription applications, ChinaBizCheck operates under a one-time pay-per-report model:

Consumption of Service: A purchased credit or payment is consumed immediately upon initiating the server lookup and compiling public records.
Refund Policy: Due to the real-time cost of querying official databases, refunds cannot be processed once search queries are initiated and records retrieved — except in cases of complete system failure. If an export fails, contact support@chinabizcheck.org for manual report delivery or credit reconciliation.

Usage Restrictions and Compliance
You represent, warrant, and agree that you will not:
Use the generated PDF reports for any illegal, defamatory, or regulatory-evading purposes.
Resell individual raw compliance outputs to other parties on an automated, commercial scale without a separate enterprise API agreement with us.
Reverse-engineer, decompile, or bypass the API gateway mechanisms securing the Application's verification lookup flows.
Use the Application if you are under 18 years of age or otherwise lack the legal capacity to enter into binding agreements in your jurisdiction.

Ownership and License of Generated Reports
All templates, branding, design systems, and software assets remain the exclusive property of ChinaBizCheck. Users are granted a perpetual, worldwide, royalty-free license to use, copy, print, and distribute the exported PDF reports internally for business compliance checks, risk mitigation, and commercial partnership assessments.

Third-Party Services
The Application integrates with the following third-party services. By using the Application you acknowledge their respective terms apply:
Google AdMob: The Application displays advertisements served by Google AdMob. AdMob may collect device identifiers and usage data in accordance with Google's Privacy Policy. You may manage your ad preferences through your device settings (iOS: Settings → Privacy & Security → Tracking).
Payment Gateways (PayPal, Stripe): Payment processing is handled by these third-party providers. Their respective terms of service and privacy policies govern all payment transactions.
Corporate Registry Services: Search queries are transmitted to third-party API services to retrieve data from Mainland China public business registries.
We are not responsible for the practices or content of these third-party services.

Disclaimer of Warranty
BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:
External Sourcing. The Application locates, parses, and translates data directly from official, public registries in Mainland China (such as the National Enterprise Credit Information Publicity System — NECIPS).
As-Is Registry Status. ChinaBizCheck has no control over the absolute accuracy, completeness, or currency of official government holding systems.
No Warranty of Results. Reports are delivered "AS IS" and "AS AVAILABLE." We do not warrant that registries are continuously available, free from maintenance downtime, or that all municipal registries are fully and accurately populated.

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHINABIZCHECK AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY COMMERCIAL BUSINESS LOSSES, LITIGATION OUTCOMES, FINANCIAL PARTNERSHIP FAILURES, LOST PROFITS, OR WIRING TRANSACTION LOSSES CAUSED BY DECISIONS MADE IN RELIANCE ON REPORTS GENERATED BY THE APPLICATION.
OUR MAXIMUM CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT WILL BE STRICTLY LIMITED TO THE PRICE PAID BY YOU FOR THE SPECIFIC DUE DILIGENCE REPORT RELATED TO THE DISPUTE.

Termination
This Agreement remains in effect until terminated. Your license will terminate automatically if you fail to comply with any restriction outlined in Section 3. Upon termination, you must cease all use of the Application and delete all copies from your devices.

Governing Law and Disputes
This Agreement shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to conflict of law principles. Any disputes must first be submitted to our legal compliance desk at support@chinabizcheck.org in an attempt at amicable resolution before any formal legal action is commenced.

Apple App Store — Additional Terms
The following terms apply when the Application is downloaded through the Apple App Store:
Required by Apple App Store Guidelines
Acknowledgement: This Agreement is concluded between you and ChinaBizCheck only, and not with Apple Inc. ("Apple"). ChinaBizCheck, not Apple, is solely responsible for the Application and its content.
Scope of License: The license granted is limited to a non-transferable right to use the Application on Apple-branded products you own or control, as permitted by the Apple Media Services Terms and Conditions.
Maintenance and Support: Apple has no obligation to furnish any maintenance or support services with respect to the Application.
Warranty: In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Application.
Product Claims: ChinaBizCheck, not Apple, is responsible for addressing any claims relating to the Application, including product liability claims, claims that the Application fails to conform to any applicable legal requirement, and claims arising under consumer protection legislation.
Third-Party Beneficiary: You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
